Bone Marketing Client Agreement
Last updated: October 4, 2026 · Version: 2026-10-v1
This Client Agreement (the "Agreement") is between Bone Marketing LLC, an Arizona limited liability company ("Bone Marketing," "we," "us," "our"), and the business that accepts it (the "Client," "you," "your"). You accept it by checking the agreement box and typing your name at checkout or in your account, or by signing it electronically. The person accepting confirms they are authorized to bind the Client.
The Agreement includes these parts:
- Schedule A: Plans, packages, and fees
- Schedule B: Partner plan (revenue share), which applies only if you're on the Partner plan
- Schedule C: Data, messaging, and reviews
- Schedule D: Payments to your customers (Stripe)
- Schedule E: Our guarantees
Our Terms of Service and Privacy Policy also apply. If they conflict with this Agreement, this Agreement controls.
1. What we do
1.1 Services. We provide the marketing services in the plan or package you choose (the "Services"), as listed in Schedule A and on your order confirmation (the "Order"). We perform them professionally, following good industry practice. Anything not listed is out of scope, and we'll quote it before starting.
1.2 The Bone Marketing platform. Every plan includes access to our client portal and toolkit (the "Platform"): live results, weekly updates, projected-return reporting, a lead inbox, texting, review requests, speed-to-lead and missed-call text-back, quotes, invoices, and online payments. There's no extra charge for the Platform. Features may improve or change over time. We won't remove a core feature you rely on without at least 30 days' notice.
1.3 AI-assisted work. We may use AI tools to help draft ad copy, posts, page content, and reports. A person on our team reviews that work before it's published. We don't use your private data to train public AI models.
1.4 Third-party platforms. Google, Meta, phone carriers, Stripe, and other providers set their own rules and can reject ads, suspend accounts, change algorithms or prices, or delay approvals. We'll work in good faith to resolve those issues, but we aren't responsible for those providers' decisions.
2. You own your accounts
2.1 Ownership. You own your ad accounts, Google Business Profile, domain, website, analytics, social pages, customer lists, and the data in them. We access them by invitation or secure sign-in. We never ask for your passwords. You can remove our access at any time.
2.2 Ad spend. You pay advertising platforms directly, on your own payment method. We don't mark up or hold ad spend. Budgets are set with your approval. Ad spend is never part of our fees.
2.3 Deliverables. Once the related fees are paid, you own the final website, ad creative, written content, and other work we make specifically for you (the "Deliverables"). We may keep copies for our records and, unless you opt out in writing, show non-confidential work in our portfolio. We never publish your revenue, customer data, or financial results without your written permission.
2.4 Our property. We keep ownership of the Platform, our software, templates, methods, and know-how, along with anything we create that isn't specific to you. You may use the Platform while your plan is active.
3. Your responsibilities
You agree to:
- (a) give us the access, information, photos, and approvals the Services need, on time;
- (b) make sure everything you give us is accurate and that you have the right to use it;
- (c) hold every license, registration, and insurance your trade requires, and tell us any license number that must appear in advertising (for example, Arizona Registrar of Contractors rules);
- (d) honor the offers, prices, and guarantees in ads you approve;
- (e) respond to leads promptly (results depend heavily on follow-up); and
- (f) follow Schedule C for anything you send to your customers through the Platform.
Approvals. We send ad copy, creative, and message wording for your approval when needed. If you don't respond within 5 business days, we may proceed with reasonable defaults. The exception: automated texts and emails never go live without approval.
4. Fees and payment
4.1 Fees. Fees are listed in Schedule A and your Order.
- Monthly plans bill in advance each month.
- 6-month packages are prepaid (in full, or in the installments shown on your Order).
- One-time projects bill as stated on the Order.
Payments are processed by our payment processor. You authorize us to charge your payment method on file for fees as they come due.
4.2 Taxes. Fees don't include taxes. We add any tax the law requires.
4.3 Late payment. If a payment fails and isn't fixed within 7 days of our notice, we may pause the Services and Platform automations until it's paid. Pausing never deletes your data or blocks your access to your own accounts.
4.4 Price changes. We give at least 30 days' notice before changing the price of your monthly plan. Prepaid packages are locked at the price you paid.
4.5 Referral discount. For each active client you refer, both you and that client get 10% off monthly plan fees while both stay active. Discounts stack up to 50%. They don't apply to prepaid packages, one-time projects, ad spend, or Partner revenue share.
5. Term, cancellation, and what happens after
5.1 Monthly plans. Month-to-month, with no long-term contract. Cancel anytime in your portal or by emailing admin@bonemarketing.net. Cancellation takes effect at the end of the current paid month. No partial-month refunds, except as Schedule E provides.
5.2 6-month packages. Prepaid for the 6-month term.
- If you stop early, there's no cash refund once onboarding has begun. Instead, the value of the unused full months becomes credit toward one-time projects (websites, landing pages, SEO or ad projects), usable within 12 months of the stop date.
- If we end the package without cause, or you end it because of our uncured material breach, we refund the unused full months in cash.
- At the end of the term, the package doesn't auto-renew. We'll offer renewal or a monthly plan.
5.3 Partner plan. The minimum term and tail in Schedule B apply.
5.4 Termination for cause. Either party may end this Agreement if the other materially breaches it and doesn't cure the breach within 10 days of written notice. We may suspend or end the Services immediately for unlawful, deceptive, or abusive use, including violations of Schedule C.
5.5 After it ends.
- (a) We stop work and remove our access to your accounts, or you can remove it.
- (b) You keep your accounts, website, domain, listing, and ad history.
- (c) You have 30 days to export your contacts, leads, quotes, invoices, and reports. After that we may delete your data under our Privacy Policy, keeping only what the law requires.
- (d) We'll help move your business phone number to a carrier you choose on request (porting), subject to carrier timelines.
- (e) Fees already earned, and any Schedule B tail, stay payable.
6. Confidentiality
Each party keeps the other's non-public business information confidential, uses it only for this Agreement, and protects it with reasonable care. This doesn't apply to information that is public, already known, independently developed, or required by law to be disclosed (with notice where allowed). These obligations last 3 years after the Agreement ends, and indefinitely for customer personal data.
7. Results
Results depend on things we don't control: your market, prices, competition, seasonality, platform changes, and how you handle leads. Except for the guarantees in Schedule E, we don't promise any specific ranking, number of leads, revenue, or return. Projections in the Platform are estimates based on your numbers. They aren't guarantees.
8. Warranties and disclaimers
Each party confirms it has authority to enter this Agreement. Except as stated in this Agreement, the Services and Platform are provided "as is" and "as available," and we disclaim all other warranties to the extent the law allows, including merchantability, fitness for a particular purpose, and uninterrupted or error-free operation.
9. Limitation of liability
9.1 Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue.
9.2 Our total liability under this Agreement won't exceed the fees you paid us in the 3 months before the event giving rise to the claim. For a prepaid package, it's the fees attributable to those 3 months. Ad spend and money you collect from your customers are not fees paid to us.
9.3 These limits don't apply to indemnity obligations, a party's fraud or willful misconduct, or your payment obligations.
10. Indemnification
10.1 You will defend and indemnify Bone Marketing against third-party claims arising from:
- your content, products, services, workmanship, pricing, or offers;
- messages sent to your contacts through the Platform, including claims under the TCPA or similar laws where you didn't have the required consent;
- your use of payments (Schedule D); or
- your breach of law or this Agreement.
10.2 We will defend and indemnify you against third-party claims that Deliverables we created (not including your materials) infringe someone's intellectual property, or that arise from our gross negligence or willful misconduct.
10.3 The indemnified party must give prompt notice, reasonable cooperation, and control of the defense. No settlement may admit fault for the other party without its consent.
11. Disputes: arbitration
11.1 Talk first. Before filing anything, the party with a concern emails the other a written description. Both make a good-faith effort to resolve it within 30 days.
11.2 Binding arbitration. Any dispute not resolved informally will be decided by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before one arbitrator.
- The arbitration is held in Arizona (or by video if both parties agree), and the arbitrator applies Arizona law.
- Judgment on the award may be entered in any court with jurisdiction.
11.3 Exceptions. Either party may (a) bring an individual claim in small claims court if it qualifies, and (b) seek a court order to stop misuse of its intellectual property or confidential information.
11.4 No class actions. Disputes are resolved individually. Neither party may bring or join a class, collective, or representative action against the other.
11.5 If the class-action waiver is found unenforceable for a claim, that claim goes to the state or federal courts located in Arizona, and the rest of this Section still applies.
12. General
- Independent contractors. Nothing here creates a partnership, joint venture, franchise, or employment relationship. That includes the Partner plan, which is a fee arrangement only.
- Non-solicitation. During this Agreement and for 12 months after, neither party will directly solicit the other's employees for employment without consent.
- Assignment. Neither party may assign this Agreement without consent, except to a successor in a merger or sale of substantially all its assets.
- Notices. By email: to us at admin@bonemarketing.net, and to you at the account owner's email.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, including outages at third-party platforms or carriers.
- Changes. We may update this Agreement with 30 days' notice in your portal or by email. Material changes require re-acceptance at your next login. A prepaid package keeps the version in effect when you bought it until its term ends.
- Electronic signature. Accepting online is a valid signature under the federal E-SIGN Act and the Arizona Electronic Transactions Act. We record the version, date, time, name, and account for each acceptance.
- Governing law. Arizona law governs, along with the Federal Arbitration Act for Section 11.
- Entire agreement; severability; no waiver. This Agreement, its Schedules, your Order, the Terms, and the Privacy Policy are the entire agreement. If a provision is unenforceable, the rest stays in effect. Not enforcing a right doesn't waive it.

Every plan and package includes the Platform (Section 1.2) at no extra charge.
Exact monthly quantities (for example, posts and pages per month) are shown on your Order and on the pricing page at the time of purchase.
Schedule B: Partner plan (revenue share)
B1. Fees. A monthly Base Fee of $1,000, billed in advance, plus a Revenue Share of 8% of Attributed Revenue, billed monthly in arrears.
B2. Definitions.
- "Attributed Lead" is a person who first contacts you during the term through a channel we manage and track: our tracking or business phone number, a form or website we built or track, a Meta or Google lead form we run, or a tracked call or message from your Google Business Profile. It also includes leads both parties mark "Bone-sourced" in the Platform.
- "Excluded Customers" are:
- anyone on the existing-customer list you upload within 14 days of starting;
- anyone already in your invoicing records before the start date;
- referrals from existing customers that didn't come through a tracked channel; and
- anyone both parties agree in writing to exclude.
- "Attributed Revenue" is payments actually collected from Attributed Leads (not Excluded Customers) for jobs invoiced within 12 months of first contact, net of sales tax, refunds, chargebacks, and third-party financing fees.
B3. Tracking. You'll invoice through the Platform, or keep a supported invoicing system connected, for the whole term. Lead-to-job matching uses phone, email, and name. Either party can flag a match it disagrees with, and we'll resolve it in good faith.
B4. Statements. By the 5th of each month, the Platform generates a statement for the prior month listing each attributed job. You have 7 days to dispute any line in writing. Undisputed amounts are charged on the 15th.
B5. Audit. Once every 12 months, on 10 business days' notice, we may review the records needed to verify Attributed Revenue. If the review shows an underpayment of more than 5%, you'll pay the shortfall plus the reasonable cost of the review.
B6. Term and tail.
- The initial term is 6 months, then the plan continues month-to-month with 30 days' notice to end it.
- For 90 days after the plan ends, the Revenue Share still applies to Attributed Revenue from leads whose first contact happened during the term. There's no tail if we end the plan without cause, or if you end it for our uncured breach.
- If you end the plan during the initial term without cause, the Base Fee for the remaining initial-term months is due.
B7. No avoidance. You won't move or record Attributed Leads' jobs outside your tracked system, or under another entity, to avoid the Revenue Share. You control your prices and which jobs you accept.
Schedule C: Data, messaging, and reviews
C1. Roles. For personal information about your customers and leads that you put in or collect through the Platform ("Client Data"), you're the business that controls it. We process it only on your behalf to provide the Services. We don't sell Client Data or use it to market to your customers for anyone else.
C2. Our safeguards. We use reasonable administrative, technical, and physical safeguards:
- encryption in transit, and encryption of access tokens and sensitive identifiers at rest;
- role-based access and separation between client accounts; and
- vetted subprocessors bound by data-protection terms (list on request).
We notify you without undue delay, and within the time the law requires (including A.R.S. § 18-552), after confirming a security breach affecting Client Data.
C3. Your messaging responsibilities. Texts and emails sent through the Platform go out in your business's name, on your behalf. You are responsible for:
- (a) Consent. Having the consent the law requires before contacts are texted, including prior express written consent for marketing texts under the TCPA, and keeping proof of it. Our forms collect and record consent for you.
- (b) Opt-outs. Honoring revocations made by any reasonable means. The Platform automatically blocks contacts who reply STOP, QUIT, END, REVOKE, OPT OUT, CANCEL, UNSUBSCRIBE, or similar words, and processes other revocation requests we receive promptly, and in no case more than 10 business days later. You won't re-add a contact who opted out.
- (c) No purchased lists. No purchased, rented, or scraped lists for texting.
- (d) Accurate registration info. Providing accurate business information for carrier (A2P 10DLC) registration. Texts from your number stay paused until carriers approve it.
- (e) Quiet hours. Texts are held outside 8 a.m.–9 p.m. in your time zone by default.
- (f) Provider rules. Following our messaging provider's acceptable-use and messaging policies (for example, Twilio's), which we enforce through the Platform.
C4. Reviews.
- Review requests go only to customers who actually received your service.
- No incentives for reviews, no fake or purchased reviews, and no employees or family posing as customers.
- No review gating: every customer receives the same review link, never filtered by how happy they seem.
These rules follow Google's policies and the FTC Rule on the Use of Consumer Reviews and Testimonials (16 C.F.R. Part 465).
C5. Prohibited use. You won't use the Services or Platform for anything unlawful, deceptive, harassing, or misleading, for false advertising claims, or to violate any platform's policies.
Schedule D: Payments to your customers (Stripe)
D1. Payment processing services for clients on the Bone Marketing Platform are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By agreeing to this Agreement, or continuing to operate as a client on the Bone Marketing Platform, you agree to be bound by the Stripe Services Agreement, as Stripe may modify it from time to time.
As a condition of Bone Marketing enabling payment processing services through Stripe, you agree to provide Bone Marketing accurate and complete information about you and your business, and you authorize Bone Marketing to share it, and transaction information related to your use of the payment processing services provided by Stripe.
D2. Payments your customers make go to your Stripe account and are paid out to your bank by Stripe.
- Bone Marketing doesn't hold your customers' money and takes no fee from those payments, unless a fee is shown in your Order or the Platform before you accept it.
- Stripe's processing fees apply and are charged by Stripe.
D3. You are responsible for:
- your prices, taxes, refunds, and disputes or chargebacks with your customers; and
- making sure the work you invoice was agreed and performed.
Schedule E: Our guarantees
E1. Free setup if we can't deliver. If we can't deliver the foundation setup in your plan within 30 days of receiving everything we asked for, and the delay is our fault, you won't be charged for the setup. Any setup fee you paid is refunded. "Foundation setup" means the website or landing page, Google listing optimization, call and lead tracking, and the Platform setup included in your plan.
E2. 90-day calls guarantee (SEO, All-in, Groundwork 6, and Takeover 6).
- What we compare: "Google calls" means calls from your Google Business Profile plus calls to the tracking number on your Google listing and website, as recorded in the Platform. If calls in days 31–120 after launch aren't higher than the baseline, we keep working with your monthly fee waived until they are, for up to 90 additional days. For prepaid packages, the waived months are added to your term at no charge.
- Baseline: Google calls in the 90 days before we start. If that history isn't available, the baseline is days 1–30 after tracking is live, scaled to 90 days.
- Conditions: the guarantee applies only if you:
- keep our access and tracking in place;
- keep your plan active and paid on time;
- approve requests within 5 business days;
- keep agreed ad budgets running (if your plan includes ads);
- answer or return calls; and
- haven't materially changed your services, service area, business name, or phone number.
It doesn't apply if a platform suspension or event outside our control (for example, a Google outage or a policy action against your listing that isn't caused by us) affects the period.
- This is your sole remedy for the guarantee. It's not a cash refund.
